Structure & Governance

A Dutch principal-holding model designed for substance, compliance and project-level isolation.

Nexus Venture Capital Holdings B.V. operates as the group's single principal: one decision-maker, one financing company, and ring-fenced project vehicles beneath it.

Group structure

Nexus Venture Capital Holdings B.V. (Netherlands)

The central principal, decision-maker and group financing company. It receives capital from funding partners as equity or arm's-length loans and deploys it into subsidiaries and SPVs through equity contributions or intra-group loans.

Wholly owned subsidiaries

Operating and holding entities that support the group's investment activities.

Project SPVs

Dedicated entities established in the jurisdiction of each project. Each SPV is wholly owned by Nexus Venture Capital Holdings B.V. or a wholly owned subsidiary, unless a bankruptcy-remote structure is used.

Bankruptcy-remote structures

Where appropriate, Dutch stichting structures may hold SPV shares or receive project revenues, isolating assets from the holding company’s creditors and reducing co-mingling risk.

Financing model

  • Capital is received by Nexus Venture Capital Holdings B.V. from funding partners in Germany, the UK, or other jurisdictions.
  • Funds are received as equity contributions or arm’s-length loans.
  • Nexus Venture Capital Holdings B.V. on-lends or contributes capital to SPVs under documented intra-group agreements.
  • Interest rates, fees and terms are set on an arm’s-length basis and supported by transfer pricing documentation.
  • The Dutch holding company retains a spread or management fee commensurate with its functions, assets and risks.

Board & decision-making

The board of Nexus Venture Capital Holdings B.V. meets in the Netherlands and exercises genuine decision-making authority over investments, divestments, financing and treasury strategy. Day-to-day management is supported by Dutch-based staff and professional service providers.

Compliance framework

  • Dutch corporate law and accounting standards
  • Dutch tax law, including transfer pricing and anti-abuse rules
  • EU financial services regulations where applicable
  • AML/KYC policies for counterparties and funding partners
  • Independent governance for SPVs and bankruptcy-remote structures
